Terms and Conditions of Use of MaslowMedia.Com Websites

These Terms and Conditions of Use apply to the MaslowMedia.com websites, including its Executive Search, Job Hotline, Post Résumés, Bulletin Board and Production Company Guide areas, and TVgigsonline.com (collectively the MaslowMedia.com websites). 

PLEASE READ THESE TERMS AND CONDITIONS OF USE CAREFULLY BEFORE USING THE MASLOWMEDIA.COM WEBSITES. By using the MaslowMedia.com websites, you agree to these Terms and Conditions of Use (the ATerms@). If you do not wish to agree to these Terms, please do not use our websites. We reserve the right, at our discretion, to change these Terms, and to add or delete provisions, at any time. Please check these Terms periodically for changes. Your continued use of the MaslowMedia.com websites following the posting of changes to these Terms will mean you accept any changes we post here.

RESTRICTIONS ON USE OF MASLOWMEDIA CONTENT. Unless otherwise noted, all materials posted by Maslow Media Group, Inc. (AMMG@) or MaslowMedia.com, on the MaslowMedia.com websites, including images, illustrations, designs, icons, photographs, video clips, and written and other materials that are part of the MaslowMedia.com websites (collectively called the MaslowMedia Content@) are copyrights, trademarks, service marks, trade dress and/or other intellectual properties owned, controlled or licensed by MMG. No MaslowMedia Content may be copied, reproduced, framed, hyperlinked, republished, uploaded, posted, transmitted, or distributed in any way, except that you may (i) make a reasonable number of digital or other form of copies to permit your computer hardware and software to access and view the MaslowMedia Content, and (ii) download one copy of the MaslowMedia Content, in whole or in part, on any single computer for your personal use only, provided you keep intact all copyright and other proprietary notices.

Modification of the MaslowMedia Content, or use of any of it for any other purpose is a violation of MMG’s copyright and other proprietary rights. Use of any of the MaslowMedia Content on any other website, or display to third parties on any networked computer environment other than our websites, is prohibited.

RESTRICTIONS ON POSTING RÉSUMÉS, LISTINGS AND OTHER PUBLIC POSTINGS. "Public Posting" means any résumé, job listing, corporate capability statement or description, message posted to a bulletin board or online discussion, e-mail or any other type of written communications submitted to the MaslowMedia.com websites, or to its editors, webmaster(s) or employees.

Users are solely responsible for the content of their Public Postings. Users of the MaslowMedia.com websites are prohibited from submitting any Public Posting:

(1) that would constitute or encourage a criminal offense, give rise to liability or violate any local, state, federal or international law, including but not limited to any federal or state securities law or the United States export control laws and regulations;

(2) that is, or which contains, content that is libelous, defamatory, obscene, pornographic, threatening, invasive of privacy or publicity rights, abusive, illegal, violates the rights of any party, or is otherwise objectionable;

(3) that alters, damages, or deletes any Public Posting other than your own, that interferes with the ability of others to access MaslowMedia.com, or that disrupts the normal flow of communication at any of the websites;

(4) that, to the best of your knowledge, contains any software viruses, worms, or other software routines that are intended to damage, disable, detrimentally interfere with, or surreptitiously intercept any system data or personal information; or

(5) that posts or transmits unsolicited advertising, promotional materials, or other forms of solicitation, other than the types of materials for which the areas of the websites are designated. 

GRANT OF USE OF YOUR PUBLIC POSTINGS. By submitting any Public Posting to any MaslowMedia.com website, you automatically grant (or warrant that the owner of such rights has expressly granted) MaslowMedia.com a perpetual, royalty-free, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from and distribute your Public Posting, or incorporate it into any form, medium, or technology now known or later developed. In addition, you warrant that all so-called "moral rights" in your Public Posting have been waived. You also permit the general public to access, view, store and reproduce your Public Posting, in accordance with these Terms. 

OUR MONITORING OF PUBLIC POSTINGS

MaslowMedia.com is not responsible for screening, policing, editing, reviewing or monitoring any Public Posting in advance. Nevertheless, MaslowMedia.com has the right but not the obligation to monitor and to block, remove or edit any Public Posting or its content that, in its absolute discretion, does not comply with these Terms, and reserves the right to do so at any time without notice.

NO REPRESENTATION OF ACCURACY OR COMPLETENESS AS TO PUBLIC POSTINGS. MaslowMedia.com operates its websites as a service to members and to the Internet community, and for clients of MMG. Neither MaslowMedia.com nor MMG warrants or guarantees the accuracy, completeness, adequacy or currency of the information contained in any Public Posting, or in any site linked to these websites. Any statements, opinions, offers of services or other information expressed or made available by third parties, including but not limited to users of the websites, are those of the respective author(s) or contributor(s) and do not necessarily state or reflect those of MaslowMedia.com. Users of information from the MaslowMedia.com websites or links do so at their own risk.

RESTRICTIONS UPON USE OF PUBLIC POSTINGS. By using the MaslowMedia.com websites, you acknowledge that the authors or contributors of Public Postings remain the owners of intellectual property rights in their Public Postings; that they retain rights including but not limited to the right of privacy; and that you do not acquire any rights by downloading or printing the content of any Public Postings, except as is permitted by these Terms. You may not modify, copy, reproduce, transmit, distribute, publish, create derivative works from, display or otherwise transfer, or commercially exploit, any Public Postings, in whole or in part, except that you may (i) make a reasonable number of digital or other form of copies to permit your computer hardware and software to access and view the Public Postings, and (ii) make and distribute a reasonable number of copies of the Public Postings, in whole or in part, in hard copy or electronic form, for internal use only.

Use of any robot, spider, other automatic device, or manual process to monitor or copy our web pages or the content contained on them is strictly prohibited. Use of Public Postings in competition with any MaslowMedia.com website or with MMG is strictly prohibited.

PRIVACY. MaslowMedia.com reserves the right to disclose any information necessary to satisfy any law, regulation or other governmental request; to operate its websites; or to protect itself or other users. Registration data and certain other demographic information about you are subject to MaslowMedia.com's privacy policy. MEMBER ACCOUNT. If you register as a MaslowMedia.com user, you will be assigned a username and password that is unique to you. You are responsible for maintaining the confidentiality of the username and password, and responsible for all activities that occur under your username and password. You agree to notify MaslowMedia.com of any unauthorized use of your username and password or any other breach of security.

USAGE BY CHILDREN. Children under the age of 13 are not eligible to use the MaslowMedia.Com websites; a parent or guardian may register as a user on behalf of a child. However, we cannot prevent minors from accessing the MaslowMedia.com websites. MaslowMedia.com must rely on parents, guardians and those responsible for supervising children under 13 to decide which materials, if any, are appropriate for children to view. 

TERMINATION. These Terms are effective until terminated by either party.

Termination by You. You may terminate these Terms at any time by destroying all materials obtained from any MaslowMedia.com website, all related documentation and all copies and installations thereof in your possession, whether made under these Terms or otherwise.

Termination by MaslowMedia.com. MaslowMedia.com may terminate or temporarily suspend your access, immediately and without notice, to all or any MaslowMedia.com websites, for conduct that it determines, in its sole discretion, is a violation of these Terms and Conditions of Use, or of any posted policies or guidelines, or is harmful to MaslowMedia.com or other Users.

Upon termination, you must destroy all materials obtained from the MaslowMedia.com websites and all copies thereof, whether made under these Terms or otherwise. MaslowMedia.com may take such further action as MaslowMedia.com determines to be appropriate under the circumstances to eliminate or preclude repeat violations, and MaslowMedia.com shall not be liable for any damages of any nature suffered by any customer, user, or any third party resulting in whole or in part from MaslowMedia.com's exercise of its rights under these Terms.

MaslowMedia.com may discontinue operating the MaslowMedia.com websites, or any part of them, and may terminate these Terms without notice, at any time for any reason in its sole discretion.

DISCLAIMER. THE MATERIALS IN, ACCESS TO AND USE OF THE MASLOWMEDIA.COM WEBSITES ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT BY LAW, MASLOWMEDIA.COM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. MASLOWMEDIA.COM DOES NOT WARRANT THAT THE FUNCTIONS OF THE WEBSITES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE MASLOWMEDIA.COM WEBSITES OR THE SERVER(S) THAT MAKE THE MASLOWMEDIA.COM WEBSITES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. MASLOWMEDIA.COM DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE MATERIALS IN THE MASLOWMEDIA.COM WEBSITES IN TERMS OF THEIR CORRECTNESS, ACCURACY, EFFECTIVENESS, RELIABILITY, OR OTHERWISE. YOU (AND NOT MASLOWMEDIA.COM) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO NEGLIGENCE, SHALL MASLOWMEDIA.COM OR ITS EMPLOYEES, AGENTS, SUPPLIERS OR CONTRACTORS BE LIABLE FOR ANY LOSSES AND EXPENSES OF WHATEVER NATURE AND HOWSOEVER ARISING, INCLUDING WITHOUT LIMITATION DIRECT OR INDIRECT, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, LOSS OF USE, LOSS OF DATA, LOSS CAUSED BY A VIRUS, LOSS OF INCOME OR PROFIT, LOSS OF OR DAMAGE TO PROPERTY, ANY DECISION MADE BY YOU OR ACTION TAKEN BY YOU IN RELIANCE UPON ANY CONTENT, CLAIMS BY THIRD PARTIES, OR OTHER LOSSES OF ANY KIND OR CHARACTER, THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE MASLOWMEDIA.COM WEBSITES, FROM THE MASLOWMEDIA CONTENT, OR FROM ANY PUBLIC POSTING, EVEN IF MASLOWMEDIA.COM OR A MASLOWMEDIA.COM AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN NO EVENT SHALL MMG’S OR MASLOWMEDIA.COM'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE), OR OTHERWISE, EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO MASLOWMEDIA.COM FOR ACCESSING THE MASLOWMEDIA.COM WEBSITES.

INDEMNITY. You agree to indemnify and hold MaslowMedia.com, MMG and their respective directors, officers, employees, and agents harmless from any and all liabilities, claims and expenses, including reasonable attorneys' fees, arising from breach of these Terms and Conditions of Use or of any posted policies or guidelines, or from your use of or access to any MaslowMedia.com website, including but not limited to any Public Posting.

OTHER PRODUCTS OR SERVICES. Any reference made in the MaslowMedia Content to any specific commercial product, process, or service (or provider of such product, process or service) by trade name, trademark, hyperlink, or otherwise, does not constitute or imply an endorsement, recommendation, or favoring by MaslowMedia.com or MMG.

LINKS TO OTHER WEBSITES AND SERVICES. To the extent that the MaslowMedia.com websites contain links to outside services and resources, MaslowMedia.com does not control the availability and content of those outside services or resources. Any concerns regarding any such service or resource, or any link thereto, should be directed to the particular service or resource.

OTHER. These Terms shall be governed by and construed in accordance with the laws of the District of Columbia, United States of America. You agree that any action at law or in equity arising out of or relating to these Terms or to the use of any of the MaslowMedia.com websites shall exclusively be filed in the federal courts located in Washington, D.C. or in the Superior Court of the District of Columbia, and you hereby consent and submit to the personal jurisdiction of such courts for such purposes. If any provision of these Terms shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. You agree that regardless of any law or statute to the contrary, any claim or cause of action arising out of or relating to the MaslowMedia.com service, and these Terms must be filed within one (1) year of the date the claim or cause of arose, or be barred as untimely. The failure to insist upon or enforce strict performance of any provision of these Terms shall not be construed as a waiver of any provision or right. This is the entire agreement between us relating to the subject matter herein and shall not be modified except as provided herein or in writing, signed by MaslowMedia.com.
